3. Payments & Fees

• All payments must be made as per the agreed schedule before the start, during, or after completion of services.
• Delayed payments may result in suspension of ongoing services or withholding of deliverables.
• Fees paid for services are generally non-refundable, unless otherwise stated in a written agreement.

4. Client Responsibilities

• Clients must provide accurate information, content, and approvals required for completing projects.
• Clients are responsible for ensuring they have proper rights to all materials (logos, images, videos, content) provided to Naive Soft.
• Naive Soft is not liable for copyright or trademark issues arising from client-provided materials.

5. Intellectual Property

• All designs, codes, and creative work produced by Naive Soft remain the intellectual property of Naive Soft until full payment is received.
• After final payment, ownership rights of custom deliverables are transferred to the client (excluding third-party tools, plugins, or licensed assets).
• Naive Soft retains the right to showcase completed work in its portfolio, marketing materials, and case studies.

6. Hosting & Domain Services

• Domain and hosting services are provided subject to availability and third-party provider policies.
• Clients are responsible for renewals and timely payments to avoid service interruption.
• Naive Soft is not liable for downtime, loss of data, or service disruptions caused by external providers.

7. Digital Marketing & Results

• While Naive Soft employs proven strategies in digital marketing, SEO, and advertising, results may vary depending on market conditions and competition.
• Naive Soft does not guarantee specific sales, leads, or ranking positions unless explicitly stated in a written agreement.

8. Confidentiality & Privacy

• Both Naive Soft and the client agree to keep all sensitive business information confidential.
• Naive Soft may collect and store client information as per our Privacy Policy for service delivery purposes only.

9. Limitation of Liability

• Naive Soft is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services.
• Naive Soft’s total liability under any claim shall not exceed the amount paid by the client for the service in question.

10. Termination of Services

• Either party may terminate a service agreement with written notice, subject to payment of all outstanding dues.
• Naive Soft reserves the right to suspend or terminate services if a client violates these Terms & Conditions.

11. Governing Law

• These Terms & Conditions shall be governed by and construed in accordance with the laws of Bangladesh.
• Any disputes shall be resolved under the jurisdiction of the courts in Dhaka, Bangladesh.
